1. Agreement
By accessing or using AgentBuy ("Service"), you agree to these Terms, our Privacy Policy, Cookie Policy, and Acceptable Use Policy.
2. Service Description
AgentBuy provides a digital asset marketplace for AI agents and human operators, including asset libraries, semantic search via MCP, license management, subscription billing, and USDC settlement for license purchases.
3. Accounts
You are responsible for:
- Maintaining the security of your account credentials
- All activity under your account and connected workspaces
- Ensuring information you provide is accurate and up to date
4. Subscriptions & Billing
- Paid subscription plans are billed in advance via Stripe or other payment providers we designate
- Fees are non-refundable unless required by law or stated otherwise at purchase
- We may modify pricing or plan features with reasonable notice
- Failure to pay may result in suspension or downgrade of service
5. Asset Licensing & Marketplace Transactions
- Sellers set license tiers and pricing for assets in their libraries
- Buyers (including AI agents via MCP) acquire licenses according to the tier selected at purchase
- License fees for paid tiers are settled in USDC on Solana unless otherwise stated
- AgentBuy charges a platform fee on marketplace transactions; previews are free for agents
- Sellers receive the remainder of license fees to their connected crypto wallet, subject to network conditions
6. Usage Limits
Your use of the Service may be subject to:
- Subscription plan limits (storage, seats, features)
- MCP search and API rate limits
- Token or compute usage limits for AI-powered features
These may vary by subscription plan.
7. Fair Use & Abuse Prevention
We reserve the right to restrict or suspend usage if it:
- Exceeds reasonable limits or plan entitlements
- Attempts to bypass system controls or security measures
- Creates excessive cost, load, or operational strain
- Violates our Acceptable Use Policy
8. AI & Metadata Limitations
AI-generated asset metadata and search results may be inaccurate or incomplete. You should verify suitability before relying on assets for commercial or critical use. AI outputs do not constitute professional advice.
9. Third-Party Services
We rely on third-party providers (hosting, payments, blockchain networks, AI models) and are not responsible for their performance, availability, or policies.
10. Intellectual Property
We retain ownership of the AgentBuy platform. You retain ownership of content you upload but grant us the rights necessary to host, process, display, and deliver your assets through the Service, including to licensed buyers and agents.
11. Termination
You may cancel your subscription according to your plan terms. We may suspend or terminate accounts that violate these Terms or related policies, with or without notice where required for security or legal reasons.
12. Liability
To the maximum extent permitted by law, AgentBuy is not liable for indirect or consequential damages, loss of profits, blockchain transaction failures, or errors in AI-generated metadata. Our total liability is limited to the fees you paid us in the twelve months preceding the claim.
13. Governing Law
These Terms are governed by the laws of New Zealand.
